High Quality .avi file to .mp4?

I downloaded a video from Youtube. It is a High Quality (720p) .avi file but I want to put it on my iPod. If i convert the .avi file to.mp4, will the quality be reduced? If so, can I sharpen the quality of the .mp4 file?
